GENERAL TERMS AND CONDITIONS OF SALE
1. Goods travel at the buyer’s risk from the moment they are loaded onto their truck or that of their carrier. Goods are delivered at the buyer’s risk upon unloading at the buyer’s premises. Goods will only become the buyer’s property upon full payment. Recipients may not claim damage or accidents occurring during transport to dispute payment of our invoices. Our supplies are payable under the agreed terms regardless of the circumstances of transport. Our truck drivers are obligated to take back all waste distributed by Carlsberg Importers S.A. In case of refusal, the customer is requested to notify us.
2. All our invoices are deemed accepted at our warehouses. Our prices are quoted excluding tax per full, unmixed pallet. These prices are listed in the price list.
3. To be valid, commitments made by our representatives must be confirmed by us in writing.
4. All claims regarding invoices, account statements, or relating to goods, waste, or drums must be submitted within eight days of receipt. After this period, we will consider silence as agreement, and late claims will not be considered; claims do not, under any circumstances, exempt the customer from paying the invoice in cash.
5. Regarding packaging, invoices for missing items will be issued at the current price. Consignment packaging provided does not become the property of the buyer and must be returned to the seller. Payments made for consignment packaging are made as a guarantee and represent only a portion of the value of this packaging. If the packaging is not returned within 8 days of sending a registered letter, or if it is not returned in good condition, the seller will be entitled to claim its equivalent value in new condition, at the current market price, less any deposit. This equipment may not be used for purposes unrelated to the sale or consumption of beverages.
6. Unless otherwise agreed in writing by the seller, our invoices are payable in cash on the day of collection or delivery of the goods. Payment may be made either in cash or by bank check. In the event of non-payment of the invoice by the due date, it will be increased by 20% as a fixed and non-reducible penalty, with a minimum of €150 as conventional compensation, in accordance with Articles 1226 et seq. of the French Civil Code. Interest is automatically due in the event of non-payment by the agreed and indicated due date, without the need for a formal notice. This interest rate will exceed the rate of the National Bank of Belgium for fees and advances on current accounts for other public securities by 1.5%, with a minimum of 1.5% per month from the due date. Payment of this late payment interest does not, however, entitle the customer to delay payment of the principal. Any collection costs will always be borne by the buyer. Failure to pay an invoice by its due date automatically renders all invoices immediately payable. Any exception to these rules granted by the seller shall be considered a mere tolerance, which the seller may terminate at any time.
7. The buyer is obligated to maintain the high quality of our products. It will make regular pickups or receive regular deliveries, so as to always deliver freshly produced beverages to its customers. The expiration date is indicated on our products. Provided that our responsibility is demonstrated, we will agree to refund expired beverages, only if they are returned to us no later than five working days after the expiration date, and provided that they have not been exposed abnormally to light, sun, heat, frost, rain, dust, etc.
8. We also decline all responsibility for unstamped posters and advertisements that may be displayed at our customers’ premises.
9. Any disputes arising from the application of these general terms and conditions of sale will be submitted to the courts of Brussels.
